Camber to Increase its Interest in Viking to 100%

HOUSTON, TX / ACCESSWIRE / February 18, 2021 / Camber Energy, Inc. (NYSE American:CEI) ("Camber") and Viking Energy Group, Inc. (OTCQB:VKIN) ("Viking") are pleased to announce that the parties have entered into a definitive Agreement and Plan of Merger ("Merger Agreement") dated as of February 15, 2021, regarding the full combination of the two entities (the "Merger").

Camber already owns approximately 62% of Viking's issued and outstanding common shares, and the Merger Agreement contemplates, through a reverse triangular merger structure, Camber issuing newly-issued shares of common stock in exchange for the balance of Viking's common stock on a one-for-one basis. For example, if a Viking shareholder owns 100 shares of common stock of Viking immediately prior to closing of the Merger, the shareholder would receive 100 shares of common stock of Camber on closing of the Merger.

(VKIN) ("Viking"), pursuant to which Camber purchased $18.9 million worth of common stock of Viking. In exchange for the shares of Viking, Camber agreed to issue 1,890 restricted shares of Camber's Series C Redeemable Convertible Preferred Stock to a noteholder of Viking resulting in the extinguishment of $18.9 million of debt at the Viking level. (OTCQB:VKIN) ("Viking") entered into definitive agreements pursuant to which Camber acquired, effective December 23, 2020, 51% of the issued and outstanding common stock of Viking for $20.1 million. The purchase price was payable through the cancelation of $9.2 million of existing debt owed by Viking to Camber, and payment of $10.9 million in cash. Funds to facilitate the cash payment were provided to Camber via loan from its existing preferred stockholder.

(NYSE American:CEI) ("Camber" or the "Company") today announced that it has received an expected notice from the NYSE Regulation staff of the NYSE American LLC (the "NYSE") as a result of its failure to file its Quarterly Report on Form 10-Q for the quarter ended September 30, 2020 (the "Form 10-Q") in a timely fashion. The NYSE notice advised the Company that it was not in compliance with the NYSE's continued listing requirements under the timely filing criteria established in Section 1007 of the NYSE American Company Guide.

As reported by the Company in its Form 12b-25 filed with the Securities and Exchange Commission (the "SEC") on November 16, 2020, the Company was unable to file its Form 10-Q within the prescribed time period without unreasonable effort or expense. The extension period provided under Rule 12b-25 expired on November 23, 2020. The Company was unable to meet the filing deadline for its Form 10-Q due to accounting issues that have arisen in connection with the preparation of the Company's amended Form S-4 registration statement relating to the accounting for the Company's Series C Redeemable Convertible Preferred Stock. The Company is taking steps to complete the required accounting and plans to file the Form 10-Q as soon as practicable.

The NYSE has informed the Company that, under the NYSE's rules, the Company will have six months from the filing due date (November 23, 2020) to file its Form 10-Q with the SEC. The Company can regain compliance with the NYSE listing standards during this six-month period when the Company files its Form 10-Q with the SEC. During the six-month period, the NYSE will closely monitor the status of the Company's late filing and related public disclosures. If the Company fails to file its Form 10-Q within such six-month period, the NYSE may, in its sole discretion, allow the Company's common stock to trade for up to an additional six months depending on specific circumstances, as outlined in the rule. If the NYSE determines that an additional six-month trading period is not appropriate, suspension and delisting procedures will commence pursuant to the NYSE American Company Guide. (OTCQB:VKIN) ("Viking"), who, as previously disclosed, are parties to the pending merger transaction, are currently working to finalize an amendment to Camber's Registration Statement on Form S-4, which Camber plans to file early next week, to respond to customary Securities and Exchange Commission (SEC) comments which Camber received on such filing. Once Camber has cleared comments from the SEC on the Form S-4, the parties plan to promptly move forward with setting the record dates for their special meetings to seek stockholder approvals for the merger and other items set forth in the joint proxy statement/prospectus included in the Form S-4 ("Joint Proxy").

To date, Camber and Viking have each satisfied nearly all of their respective conditions to closing the merger, provided that such merger remains subject to certain remaining conditions to closing, including, effectiveness of the Form S-4, approval of the stockholders of each of Camber and Viking of the merger and certain of the other proposals set forth in the Joint Proxy, and approval of the NYSE American for the continued listing of Camber's common stock following the merger, which the parties anticipate requiring the combined company to satisfy the initial listing standards of the NYSE American.
