Pursuant to the agreement, $20,000 of Mr. Schnur's annual salary is payable in shares of the Issuer's common stock, which are due quarterly. The above represents the $5,000 quarterly payment of shares due June 30, 2013, which shares were not physically issued until November 21, 2013. Shares forfeited/withheld in lieu of payment of tax liability in connection with the transaction described in footnote 1, above.
